DORITOS^® brand Crash the Super Bowl “Vote For A Chance To Win” Sweepstakes Official Rules

1. ELIGIBILITY: The DORITOS® brand Crash the Super Bowl “Vote For A Chance To Win” Sweepstakes (the “Sweepstakes”) is open only to legal residents of any of the 50 United States or the District of Columbia who are 13 years of age or older at the time of participating. The following individuals are not eligible: Employees, contractors, directors and officers of Frito-Lay, Inc. (“Sponsor”), Yahoo! Inc., Silk Tricky, GrindMedia, Microsoft, Facebook, BuzzFeed, and each of their respective parents, subsidiaries and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, “Promotion Parties”), the NFL Entities (as defined below), and the immediate family members (spouse, parent, child, sibling, grandparent, and/or “step”) of each and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Sweepstakes). The contestants whose commercials are being voted upon (as defined in Rule #4), may participate in this Sweepstakes, but must comply with these Official Rules.

2. VOTING PERIOD: Voting begins on January 4, 2012 at 12:00:00 am (midnight) Central Time (“CT”) and ends on January 29, 2012 at 11:59:59 pm CT (the “Voting Period”). The judging organization's computer is the official time keeping device for this Sweepstakes.

3. SUMMARY: Prize(s) will be awarded incrementally and based on the aggregate number of entries received through all voting methods. One (1) Prize will be awarded if the aggregate entry count reaches one-hundred thousand (100,000). An additional one (1) Prize will be awarded if the aggregate entry count reaches two-hundred thousand (200,000); and subsequently another one (1) Prize will be awarded for every additional one-hundred thousand aggregate increment of entries received, up to and including one (1) million aggregate entries received (i.e. 300,000, 400,000, 500,000, etc.). A maximum of ten (10) Prizes may be awarded. In the case that 100,000 aggregate entries are not received, the Sweepstakes will award a minimum of one (1) Prize from among all eligible entries received throughout the Voting Period.

4. TO ENTER: During the Voting Period, you may enter the Sweepstakes by any of the following methods:

(a) Log on to http://www.crashthesuperbowl.com (“Website”). The first time you visit the Website, you will be required to register and check the box indicating “I Accept the Official Sweepstakes Rules”.

(b) Access the mobile version of the Website from your mobile phone at m.crashthesuperbowl.com or crashthesuperbowl.com/mobile. The first time you visit the mobile version of the Website, you will be required to register.

(c) Create an account or log on to your Facebook account and go to the DORITOS® brand Crash the Super Bowl “Vote for a Chance to Win” sweepstakes application at http://Facebook.com/DoritosUSA.

(d) Create and/or log onto your BuzzFeed account, sign in through Facebook, or submit your email address to vote on www.buzzfeed.com/crashthesuperbowl or any BuzzFeed editorial post(s) about the DORITOS® brand Crash the Super Bowl “Vote for a Chance to Win” Sweepstakes on www.buzzfeed.com. Review these Official Rules and check the box indicating “I Accept the Official Sweepstakes Rules”.

(e) Create and/or log onto your Xbox Live account at through your Xbox console. Look for a DORITOS® brand Crash the Super Bowl ad to be directed to the area where all DORITOS® brand Crash the Super Bowl Contest Finalists' videos can be viewed.

(f) Based on Sponsor's media buy(s), rich media banner advertisements will appear, during the Voting Period, on various websites. Entrants may click on one of these ad banners to be directed to a page within the banner ad where he/she can register.

Once you are logged in/registered at a particular voting platform as described above, view the five (5) Finalists' videos for commercials in the DORITOS® brand Crash the Super Bowl Ad Contest. When you have viewed all of the Finalists' videos, follow the instructions to vote on the applicable voting platform for the submission you would like to air during the Super Bowl XLVI broadcast (a “Vote”). Each Vote equals one (1) entry in this Sweepstakes. By submitting a Vote, you warrant and represent that you agree to these Official Rules. Votes must be submitted and received by Sponsor during the Voting Period. Each person is limited to one (1) Vote per day per platform. A “day” is defined as a twenty-four (24) hour time period beginning at 12:00:00 a.m. CT and ending at the following 11:59:59 p.m. CT.

5. DRAWING(S): If and when 100,000 entries have been received through all methods of entry, a random drawing will occur from among all eligible entries received for Drawing #1 (as indicated in the chart below; entries 1 – 100,000); if and when 200,000 entries have been received through all methods of entry, a random drawing will conducted from among all eligible entries received for Drawing #2 (entries 100,001 – 200,000); if and when 300,000 entries have been received through all methods of entry, a random drawing will conducted from among all eligible entries received for Drawing #3 (entries 200,001 – 300,000); and so on up to and including Drawing #10 (if 1,000,000 or more entries have been received). If a Drawing #10 occurs and the total number of entries received from all methods of entry exceeds 1,000,000, then entries 900,001 through the final entry count as of January 29, 2012 at 11:59:59 pm CT will be included in that final drawing. Entries will not carry forward to subsequent drawings (if any). All drawings will be held on or about the third business day following the day that the target number of entries was received (i.e. 100,000; 200,000; 300,000, etc.). If 100,000 aggregate entries aren't received throughout the entire Voting Period, then a random drawing will be held on or about February 2, 2012 from among all eligible entries received throughout the entire Voting Period. All drawings will be conducted by an independent judging organization whose decisions are final in all matters relating to this Sweepstakes. Odds of winning depend upon the number of eligible entries received for a given drawing. Limit one (1) Prize per person/registered user/email address/household.

6. PRIZE DETAILS: Up to a total of ten (10) Prizes are available (dependent upon the number of eligible entries received as described in Rule #2): Each prize is $10,000, awarded in the form of a wire transfer, payable to winner (each a “Prize”). Approximate Retail Value (“ARV”): $10,000 each Prize. A minimum of one (1) Prize will be awarded. No more than ten (10) Prizes will be awarded as in accordance with these Official Rules, regardless of the total number of entries received from all methods of entry. Total ARV of all Prizes ranges from $10,000 - $100,000 (dependent upon the number of eligible entries received).

7. WINNER NOTIFICATION: Winners will notified by phone, mail and/or email. Sponsor is not responsible for suspended or discontinued Internet or wireless service which may result in a potential winner not receiving initial prize notification. Prize(s) won by an eligible participant who is a minor in his or her state of residence will be awarded to a minor’s parent or legal guardian who must sign and return all documents. Winner(s) (and winner’s parent or legal guardian if winner is a minor) will be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, Publicity Release within fourteen (14) days of prize notification. Sponsor is not responsible for any change in entrant's mailing address, email, and/or telephone number. If attempted notification is returned as undeliverable, if any prize notification is not responded to in the required number of hours, if any required documents are not returned within the required number of days, if winner cannot be verified, or if winner is otherwise unable to accept the Prize as stated, Prize may be forfeited and may be awarded to an alternate winner.

8. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsor, NFL Entities or Promotion Parties resulting from entrant’s participation in or attempt to participate in the Sweepstakes or ability or inability to upload or download any information in connection with the Sweepstakes. No responsibility or liability is assumed by the Sponsor, NFL Entities or Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Sweepstakes: Hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic or Internet connectivity or other online or telephone network communication problems; errors or limitations of any Internet or telephone service providers, servers, hosts or other providers; garbled, jumbled or faulty data transmissions; failure of any online transmissions to be sent or received; lost, late, delayed or intercepted transmissions; inaccessibility of the Website in whole or in part for any reason; traffic congestion on the Internet or the Website; unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of a Vote, email, or phone call used in connection with the Sweepstakes. Sponsor is not responsible for any typographical errors in the announcement of Prizes or these Official Rules, or any inaccurate or incorrect data contained on the Website. Use of Website is at user’s own risk. Sponsor, NFL Entities, and Promotion Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Sweepstakes.

9. CONDITIONS OF PARTICIPATION: By participating in the Sweepstakes, entrants (or entrant's parent or legal guardian if entrant is an eligible minor) release Sponsor, NFL Entities, and Promotion Parties from any and all claims, damages or liabilities arising from or relating to such entrant's participation in the Sweepstakes. By accepting a Prize, recipient (or parent or legal guardian) (a) agrees that the Sponsor, NFL Entities, and Promotion Parties, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be held harmless by winner against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Sweepstakes; from acceptance, possession, misuse or use of Prize and (b) grants (and agrees to confirm grant in writing promptly upon request) to Sponsor and those acting under its authority the right to the use of his/her name, photograph, likeness, voice, image, statements and biographical information, at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, including the Internet without review, notification or approval, and additional compensation, unless prohibited by law. Sponsor is not liable in the event that any portion of the Sweepstakes is canceled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a “Force Majeure Event”).

10. CONDITIONS OF PARTICIPATION: Winner(s) are solely responsible for any taxes on the Prize, and will receive an IRS Form 1099 for the ARV of the Prize, if applicable. No cash equivalent or substitution of Prize is offered, except at the sole discretion of the Sponsor. No transfer of Prize is permitted. Unclaimed Prizes will not be awarded. If a Prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute Prize with another prize of equal or greater value. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right, at their sole discretion, to disqualify any individual who is responsible or who tampers with the Voting process, and to cancel, modify or terminate the Sweepstakes. In the event of cancellation, Sponsor will randomly award the Prize(s) among all eligible, non-suspect entries received prior to cancellation. This Sweepstakes is offered only in the United States and is governed by the laws of the state of Texas, and all claims must be resolved in the federal or state courts located in Collin or Dallas counties, Texas.

LEGAL WARNINGANY ATTEMPT BY A USER OR ENTRANT PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
